# Partner Program Terms & Conditions

## 1. Acceptance

By accepting these terms you agree to participate in the SuperConstruct
Partner Program as an independent contractor. Acceptance is electronic,
timestamped, and recorded with your IP address and browser user agent
for compliance purposes.

## 2. Partner Obligations

- Promote SuperConstruct accurately and only via approved materials.
- Maintain truthful representation of the SuperConstruct product set.
- Provide your contact and business information truthfully.
- Cooperate with reasonable SuperConstruct due-diligence requests.

## 3. Approval

Submitting an application does not guarantee acceptance into the program.
SuperConstruct reserves the right to approve, reject, or hold applications
at its sole discretion.

## 4. Termination

SuperConstruct may deactivate a partner at any time for material breach
or for cause. On deactivation, future commission accrual stops; accrued
unpaid balances are paid out in the next regular cycle.

## 5. Confidentiality

Partner agrees to keep non-public SuperConstruct information confidential,
including pricing, product roadmaps, and customer lists shared in the
course of the program.

# Commission Policy

## 1. Commission Rates

- **Main Partner — Direct Referral:** 15% of the subscription fee paid by
  the referred customer to SuperConstruct, applied to each successful
  billing while the customer remains an active SuperConstruct subscriber.
- **Sub-Partner — Direct Referral:** 12% of the subscription fee paid by
  the customer you directly referred.
- **Main Partner — Override on Sub-Partner Business:** 3% of the
  subscription fee paid by customers brought in by sub-partners under you.

## 2. Currency & Geography

Version 1 of the program operates in USD only, for partners domiciled in
the United States. Additional currencies and jurisdictions will be added
as the program expands.

## 3. Attribution

A customer is attributed to a partner via the partner's unique referral
code. Once attribution is set, commissions accrue automatically on every
successful payment by that customer.

## 4. Recurring Nature

Commissions accrue for as long as the referred customer remains an active
SuperConstruct subscriber. If the customer cancels or is otherwise
inactivated, accrual stops with the next billing cycle.

## 5. Partner Deactivation

If a partner is deactivated by SuperConstruct, commission accrual on
their referred customers stops immediately. Accrued unpaid balances are
paid out in the next regular payout cycle, subject to SuperConstruct's
review.

# Privacy Policy (Partner Program)

This document supplements SuperConstruct's general
[Privacy Policy](/privacy-policy) with provisions specific to the
Partner Program.

## 1. Information We Collect

- Identity & contact information you provide on the application form
- IP address and browser user agent at the time of acceptance
- Lead and customer data you choose to log in the partner CRM
- Stripe Connect onboarding details (handled by Stripe, not stored here)

## 2. How We Use It

- Operate the Partner Program: review your application, send approvals,
  track referrals and commissions, send notifications.
- Compute and disburse commission payouts.
- Comply with US tax-reporting obligations (1099-NEC where applicable).

## 3. Data Sharing

We share data with the minimum necessary third-parties:
- SendGrid (transactional email)
- Stripe (payment processing and Connect onboarding)
- Firebase / Google Cloud (data storage and compute)

## 4. Retention

Partner records are retained for the duration of program participation
and for the period legally required after termination.

# Non-Circumvention Agreement

## 1. Purpose

Partner agrees not to circumvent the SuperConstruct Partner Program by
contacting, soliciting, or transacting with customers introduced through
the program outside of the program's tracked attribution and commission
framework.

## 2. Direct Contact

Partner shall not enter into any side-agreement, white-label arrangement,
or alternative billing relationship with customers introduced through the
program that bypasses SuperConstruct billing.

## 3. Customer List Confidentiality

Customer lists, lead lists, and contact information surfaced inside the
Partner Portal are SuperConstruct confidential information and may not
be exported, shared, or used outside the program without written consent.

## 4. Duration

This agreement remains in effect for the duration of program
participation and for the period defined in the final Partner Agreement
after termination.

# Payment Terms

## 1. Payout Method

Commission payouts are processed via Stripe Connect Express. Partners
must complete Stripe Connect onboarding (identity verification, bank
account, US tax forms) before any payout can be issued.

## 2. Payout Cadence

Payouts are issued monthly, for commissions accrued in the previous
calendar month, on or around the first business day of the following
month.

## 3. Minimum Threshold

There is no fixed minimum payout threshold in version 1; small balances
roll into the next cycle if a Stripe transfer fails for technical
reasons.

## 4. Disputes & Adjustments

Commission entries may be adjusted, voided, or clawed back in cases of
chargeback, refund, or attribution dispute. SuperConstruct admins may
manually adjust commission rows; all adjustments are audit-logged.

## 5. Tax Reporting

For partners domiciled in the United States, SuperConstruct (via Stripe
Connect) will issue Form 1099-NEC when applicable thresholds are met.
Partners are responsible for their own tax obligations.
